1. Account Eligibility
a. By signing below, the Buyer verifies they are a valid, legal business entity. The Buyer agrees that all products are purchased for the purpose of resale only. Buyer has read, understands, and agrees to all requirements listed within. Wholesale accounts are
2. Strict Minimum Order Quantities (MOQ)
a. To maintain wholesale pricing and production efficiency, we require a per-item minimum.
i. Minimum: Twelve (12) units per individual SKU.
ii. Example: You must order at least 12 Chocolate Mixes and/or 12 Vanilla Mixes.
iii. Note: Combined cases (e.g., 6 Chocolate + 6 Vanilla) are not available at this time.
3. Pricing & MAP Policy
a. To maintain a level playing field for all partners and protect the BAK brand, we enforce a strict Minimum Advertised Price (MAP) policy:
i. MSRP: $6.49 per pouch
ii. Price Matching: Retailers must ensure their regular list pricing matches the current pricing on www.bakgoods.com
iii. Promotions: Temporary sales or discounts exceeding 15% off MSRP must be approved in writing by BĀK Goods.
4. Territory Exclusivity (Zip Code Protection)
a. BĀK Goods does not offer any exclusivity.
5. Brand Standards & Marketing
a. Alignment: All digital and physical marketing materials (social media posts, email banners, in-store displays) must closely align with BĀK brand standards.
b. Assets: Custom-created content featuring BĀK products should maintain our clean, elevated, modern aesthetic and brand colors.
c. Health Claims: Do not alter or exaggerate nutritional facts. All marketing should reflect our core pillars: High Protein, No Added Sugar, and Gluten-Free.
6. Food Safety, Labeling & Storage
a. No Re-packaging: Products must be sold in their original, unopened packaging. Re-packaging or private labeling is strictly prohibited due to FDA allergen labeling and lot-tracking requirements.
b. Storage: Buyer agrees to store products in a cool, dry, pest-free environment.
c. Marketplace & Channel Restrictions: Resale on third-party websites (Amazon, eBay, Walmart.com, TikTok, Meta) is strictly prohibited. All other platforms require written consent from BĀK Goods.
7. Shipping, Damages & Returns
a. Logistics: Shipping costs are calculated at checkout and are the responsibility of the retailer. All wholesale orders are shipped FOB Origin. This means that the risk of loss and title for the goods passes to the Retailer upon our delivery of the shipment to the carrier (USPS/FedEx).
b. Inspection: Buyer must inspect goods upon arrival.
c. Damage Claims: In the event of transit damage, the Retailer must notify BĀK Goods (info@bakgoods.com) and the carrier within 48 hours of delivery. Please retain all original packaging and provide clear photographic evidence to facilitate the claims process.
d. Returns: Due to food safety regulations, we do not accept returns on food products.
Legal Protections & Reserved Rights
1. Limitation of Liability
• BĀK assumes no liability for any indirect, incidental, or consequential damages arising from the resale or use of our products. Once the product has been delivered to the Buyer, BĀK is not responsible for damages resulting from improper storage, handling, or display by the retailer. The Buyer agrees to indemnify and hold BĀK harmless from any claims resulting from the Buyer's negligence or breach of these terms.
2. Right to Modify Terms
• BĀK reserves the right to change, update, or modify these Wholesale Terms and Conditions, including pricing and minimum order requirements, at any time. Continued ordering after such changes constitutes acceptance of the new terms.
3. Termination of Account
• BĀK reserves the right to terminate or suspend any wholesale account at its sole discretion, at any time, and without prior notice. Termination may occur for reasons including, but not limited to, brand devaluation or misrepresentation, failure to follow MSRP, or breach of these Terms and Conditions.
